1.Agreement to Terms
These Terms and Conditions (“Terms”) form a binding agreement between you and U and Me Communication, Inc. (“U and Me Communication, Inc.,” “we,” “us”) governing your access to and use of the ZUTTO eCommerce platform, including its website, applications, and services (the “Platform”). By creating an account, listing products, or placing an order, you agree to these Terms. If you do not agree, do not use the Platform.
2.Definitions
“Customer” means a user who browses, orders, or purchases goods on ZUTTO.
“Vendor” means a user who registers to list and sell goods on ZUTTO.
“Order” means a customer’s request to purchase one or more products from a vendor.
“Transaction” means any purchase, sale, refund, payout, or financial movement processed through the Platform.
“Content” means text, images, listings, reviews, and other material submitted to the Platform.
3.Accounts and Eligibility
You must provide accurate, current, and complete information when registering and keep it updated.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must be of legal age to form a binding contract in your jurisdiction.
We may suspend or terminate accounts that violate these Terms or applicable law.
4.The Marketplace Model
ZUTTO is a multi-vendor marketplace. U and Me Communication, Inc. operates the Platform and facilitates transactions between customers and vendors. Except where we are the seller of record, the contract of sale for a product is between the customer and the vendor. U and Me Communication, Inc. is not a party to that sale and does not manufacture, own, or inspect vendor inventory.
5.Customer Terms
Orders are offers to purchase and are accepted when the vendor or Platform confirms the order.
Prices, availability, and delivery estimates are shown at checkout and may change before acceptance.
You agree to provide valid payment information and authorize charges for orders you place.
Product returns, exchanges, and refunds are subject to the applicable vendor and Platform policies.
6.Vendor Terms
6.1 Listings and conduct
Vendors are responsible for the accuracy of listings, pricing, inventory, and product legality.
Vendors must fulfill accepted orders promptly and honor stated shipping and return commitments.
Prohibited, counterfeit, unsafe, or illegal goods may not be listed.
6.2 Commissions and payouts
Vendors authorize U and Me Communication, Inc. to deduct applicable commissions and fees from sales proceeds.
Payouts are disbursed to the vendor’s designated account on the Platform’s settlement schedule, net of fees, refunds, and chargebacks.
Vendors are responsible for their own taxes arising from sales made through the Platform.
7.Payments, Fees, and Financial Transactions
All financial transactions on ZUTTO — including customer payments, vendor payouts, platform commissions, taxes, refunds, and chargebacks — are processed through the Platform and its third-party payment processors. By transacting, you authorize the collection, disbursement, and reconciliation of funds as described in these Terms.
Customer payments are captured at or after order acceptance using approved payment methods.
Platform fees and commissions are calculated on the transaction value and deducted before vendor payout.
Refunds and chargebacks may be reversed against the responsible party’s balance or future payouts.
We maintain financial records of all transactions for reconciliation, tax, and audit purposes.
8.Taxes
Users are responsible for determining and paying any taxes applicable to their purchases or sales, except where the Platform is legally required to collect and remit tax on their behalf. Where required, applicable taxes are shown at checkout.
9.Intellectual Property
The Platform, including its software, design, and trademarks, is owned by U and Me Communication, Inc. and its licensors. You may not copy, modify, or reverse-engineer the Platform. Vendors grant U and Me Communication, Inc. a license to display their listings and Content for the operation and promotion of the Platform.
10.Prohibited Conduct
Using the Platform for fraud, money laundering, or any unlawful purpose.
Interfering with security, integrity, or performance of the Platform.
Manipulating reviews, ratings, pricing, or transaction records.
Infringing the intellectual property or privacy rights of others.
11.Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, or that products offered by vendors will meet your expectations.
12.Limitation of Liability
To the maximum extent permitted by law, U and Me Communication, Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Platform. Our aggregate liability for any claim shall not exceed the fees paid or payable to us in connection with the transaction giving rise to the claim.
13.Indemnification
You agree to indemnify and hold harmless U and Me Communication, Inc. from claims, damages, and expenses arising from your use of the Platform, your Content, your listings, or your violation of these Terms or applicable law.
14.Suspension and Termination
We may suspend or terminate your access to the Platform at any time for violation of these Terms, suspected fraud, legal requirement, or risk to the Platform or its users. Upon termination, outstanding financial obligations survive.
15.Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which U and Me Communication, Inc. is established, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction, unless otherwise required by applicable law.
16.Changes to These Terms
We may modify these Terms from time to time. Material changes will be posted with a revised effective date. Your continued use of the Platform after changes take effect constitutes acceptance.
